KORA SELLER TERMS AND CONDITIONS

Welcome to Kora (“Platform” / “ https://dev.korabuy.com ”/iOS or Android app). These Seller Terms and Conditions (“Agreement”) govern your use of our services as a seller. By registering as a seller and listing products on Kora, you agree to comply with these terms.

  1. GENERAL PROVISIONS

1.1. Kora is an online marketplace platform that facilitates transactions between buyers and independent vendors/sellers. Kora does not own, store, ship, or inspect any of the products sold on the platform; 1.2. By making a purchase through Kora, the Buyer acknowledges that Kora is not the seller, manufacturer, or distributor of the products; 1.3. Kora provides software services to enable transactions, but all contracts of sale are directly between the Buyer and the Vendor; 1.4. Kora acts solely as a facilitator and authorized agent for the collection of payments on behalf of sellers. Payment by a buyer to Kora (or its payment partners) is considered full payment to the seller. However, Kora does not assume fiduciary responsibility and is not liable for delivery, disputes, or product satisfaction. Buyers and sellers remain the primary contractual parties; 1.5. Kora does not hold funds in escrow and is not a financial institution. Its role is limited to enabling transactions through third-party processors; 1.6. Delivery, disputes, or refunds are governed by the platform’s dispute and return policies, and any funds are handled in accordance with those policies through the respective seller or payment provider.

  1. DEFINITIONS

1.1 “Platform” refers to Kora, including its website (korabuy.com), mobile application, and related services.

1.2 “Seller” / “Vendor” / “Store” refers to any individual or business that lists products for sale on Kora.

1.3 “Buyer” refers to any individual or business or entity that purchases products through Kora.

1.4 “Products” refer to goods, items, or services listed by Sellers on Kora.

1.5 “Order” refers to a purchase transaction initiated by a Buyer on Kora.

1.6 “Logistics or Delivery System” refers to Kora’s logistics and delivery network.

1.7 “Delivery Partner” refers to the logistic partner, responsible for order fulfillment.

1.8 “Commission” refers to the percentage or fixed fee that Kora charges Sellers per transaction.

1.9 “Seller Account” refers to the account registered by a Seller to operate on the Platform.

2.0 “Fraudulent Activities” refer to any deceptive behavior such as listing fake products, inflating sales, or refund fraud.

  1. SELLER ELIGIBILITY & ACCOUNT REQUIREMENTS

2.1 Eligibility: To become a Seller, you must be a legally registered entity or an individual capable of entering into binding contracts.

2.2 Account Registration: To sell on Kora, sellers must create an account and provide accurate and up-to-date details, including but not limited to:

  • Business name, address, and contact information
  • Tax Identification Number (if applicable)
  • Bank account details for payments
  • Proof of identity or business registration

2.3 Account Security: Sellers are responsible for maintaining the confidentiality of login credentials and ensuring only authorized personnel access the account. Any activity conducted on the account is the user’s responsibility. Notify us immediately of any unauthorized access.

2.4 Multiple Accounts: Sellers may not operate multiple accounts without prior written approval from Kora.

  1. PRODUCT LISTINGS & STANDARDS

3.1 Product Information: Sellers must provide accurate and complete product details, including:

  • Product title, detailed description, and specifications
  • Clear, high-quality images
  • Pricing, available quantity, and variations (e.g., size, color)
  • Shipping details and estimated delivery times

3.2 Prohibited Items: Sellers are strictly prohibited from listing:

  • Counterfeit, stolen, or misrepresented items
  • Drugs, weapons, hazardous materials, or restricted substances
  • Items that violate intellectual property rights
  • Products that do not comply with legal and safety regulations
  • Any item explicitly marked by Kora as ineligible for sale on the platform

3.3 Quality Control: Sellers must ensure that all products are new (unless clearly marked as refurbished) and comply with legal and quality standards.

3.4 Pricing Policy: Sellers cannot engage in price gouging or deceptive pricing practices.

3.5 Product Authenticity & Legal Compliance: Sellers must only list genuine products and comply with Mozambican and international trade laws. Any sale of counterfeit, illegal, or restricted items will result in a fine consisting of the Product price + 20,000 MZN + account ban.

  1. RESPONSIBILITIES OF VENDORS/STORES IN THE KORA & LOGISTICS SYSTEM

4.1 Packaging & Labeling Responsibilities

4.1.1 Order Acceptance: Sellers must accept and process orders promptly upon receipt and notify Kora of any potential delays.

4.1.2 Proper Packaging of Goods: Vendors must ensure that products are securely packaged to withstand normal handling during transportation. Packaging must be resistant to minor shocks, vibrations, and compression during transit.

4.1.3 Compliance with Packaging Standards: Vendors must follow Kora’s packaging guidelines, including:

  • Use of sealed and durable packaging
  • Additional protective layers for fragile or high-value items
  • Clearly marked warnings (e.g., “FRAGILE”) if necessary

4.1.4 Labeling Accuracy: Vendors must affix correct and legible labels on every package, including:

  • Recipient name & address
  • Order number & tracking ID
  • Special handling instructions (if applicable)

4.2 Order Handover to the Delivery Partner

4.2.1 Timely Availability of Orders for Pickup: Vendors must have packages ready for pickup within 1 hour for products shipped in Maputo and Matola and within 12 hours for products shipped to provinces. Delays in handover may impact Kora’s service levels and lead to penalties.

4.2.2 Verification of Goods at Pickup: Vendors must allow Delivery partner’s pickup personnel to verify package count and labels. Vendors should retain proof of handover (e.g., signed waybills or digital confirmations).

4.3 Compliance with Product Restrictions

4.3.1 Prohibited & Restricted Items: Vendors must not ship:

  • Illegal goods (drugs, counterfeit products, stolen items)
  • Dangerous goods (flammables, explosives, corrosives)
  • Perishable or high-value items without proper packaging

4.3.2 Declaration of Sensitive or High-Value Items: Vendors must declare high-value items (e.g., electronics, jewelry) before shipping. Additional security measures or insurance may be required.

4.4 Order Documentation & Accuracy

4.4.1 Provision of Correct Order Details: Vendors must ensure that:

  • Customer details (name, address, contact info) are accurate
  • Product details (weight, size, type) match the actual shipment

4.4.2 Invoice & Shipping Documents: Vendors must provide necessary documentation, including:

  • Commercial invoices (if required for cross-border shipments)
  • Any customs-related paperwork, if applicable
  1. PAYMENTS, FEES, AND COMMISSIONS

5.1 Payment Collection: The Platform collects payments on behalf of Sellers and remits them according to the payment schedule once a month. Payments made to Kora are considered full discharge of buyer obligations. Kora shall not be liable for subsequent delivery issues.

5.2 Fees & Commissions: Sellers agree to pay:

  • A fixed commission or percentage of each sale
  • Listing fees (if applicable)
  • Payment processing fees (if applicable and communicated transparently)

5.3 Payout Schedule: Payments will be transferred to the Seller’s bank account once per month, with a 30-day maturity period from the date of order delivery confirmation.

5.4 Payment Automation: Payment requests are generated automatically. The auto-withdraw process for vendors is initiated at the start of each month, and payments are made by the 10th of each month. Vendors are encouraged to monitor payout summaries.

5.5 Payment Security: Payments processed through Kora’s platform are handled securely by verified third-party processors. Kora does not retain seller or buyer payment card data.

5.6 Fraud Monitoring: Kora reserves the right to hold or cancel payouts when credible evidence of fraud, misrepresentation, or breach of terms is present. Sellers will be informed and given a reasonable opportunity to respond.

5.7 Deductions & Refunds: Refunds, chargebacks, and disputes may be deducted from future payouts. Detailed transaction records and documentation will be provided upon request. Sellers will bear penalties for confirmed fraudulent activity.

5.8 Currency & Tax Compliance: Sellers are responsible for complying with all fiscal, tax, and legal obligations in Mozambique and relevant jurisdictions. Kora bears no liability for tax non-compliance by vendors.

  1. RETURNS, REFUNDS & DISPUTES

6.1 Return Policy: Sellers must accept returns in line with Kora’s return and refund policies for:

  • Defective items
  • Damaged goods (if damage occurred prior to pickup by the delivery partner)
  • Incorrect items sent due to vendor error
  • Items that do not match the listing description Return policies specific to vendors must be disclosed in product listings and cannot contradict platform rules.

6.2 Refund Processing: Kora will initiate refunds directly following the seller’s review and approval of a return request. Sellers are required to review and respond to return requests within 48 hours. If no action is taken within this period, the return will be deemed accepted by the seller, and the refund process will begin automatically. The refund amount may be deducted from the seller’s future earnings.

6.3 Restocking and Processing Refunds:

  • Restocking fees must be clearly disclosed to the buyer in the listing and must not exceed fair and proportionate value.

6.4 Dispute Resolution: Kora will mediate disputes using:

  • Seller and buyer communications
  • Proof of delivery, tracking records, and evidence from both parties A resolution decision will be issued within a reasonable time and can be appealed within 5 working days.

6.5 Chargebacks & Fraud: Sellers are liable for chargebacks resulting from misleading listings or failure to fulfill orders. Repeated chargebacks may trigger additional fees or suspension.

  1. LIABILITY FOR VENDOR MISTAKES

7.1 Vendor Bears Responsibility for Order Issues, including:

  • Shipping incorrect items
  • Shipping to wrong addresses
  • Failing to declare high-value or sensitive items
  • Inaccurate product or customer details
  1. COMPLIANCE WITH KORA’S POLICIES

8.1 Vendors must follow Kora’s operational standards, which include:

  • Return and refund policies
  • Response time to customer inquiries
  • Order fulfillment timelines
  • Dispute resolution procedures
  • Customer service standards

Non-compliance may result in account warnings, fines, or suspension.

  1. FRAUD PREVENTION & SECURITY MEASURES

9.1 Sellers must complete Identity verification prior to listing any product.

9.2 Kora monitors products returned (return rates). If a seller’s return rate exceeds 10% of orders over 30 days, Kora reserves the right to review product quality, suspend listings, or increase commission temporarily.

  1. PENALTIES & FINES

Kora may impose penalties and fines based on the severity of violations committed by a Seller:

Repeat offenders may face permanent bans from Kora.

All penalties are subject to notice and sellers may appeal within 5 days.

  1. LEGAL RESPONSIBILITIES & LIABILITY

11.1 Legal Compliance: Sellers must comply with all applicable laws, including consumer protection, customs, taxation, and product safety.

11.2 Kora’s Limited Liability: Kora is not liable for business losses resulting from:

  • Listing removals
  • Policy changes
  • Order cancellations
  • Account suspension or any other reasons
  • Seller misrepresentations or defective products
  • In cases of fraud or violations, Kora may withhold pending payments

11.3 Indemnification: Sellers agree to indemnify and hold Kora harmless from any claims, liabilities, or legal proceedings arising from seller conduct or product-related issues.

  1. CONFIDENTIALITY & DATA PRIVACY

12.1 Data Protection: Kora complies with applicable data privacy laws and implements safeguards for user data.

12.2 Use of Customer Data: Sellers must comply with privacy laws regarding customer data.  Seller may only use Buyer data for order fulfillment. Sharing, storing, or using this data for other purposes (like marketing) is strictly prohibited. Sellers must protect this information and comply with applicable privacy laws. Breaches may lead to account termination and legal actions.

  1. MODIFICATION OF TERMS

Kora reserves the right to amend these terms at any time. Sellers will be notified via email and/or platform dashboard. Continued use after updates constitutes acceptance.

  1. FORCE MAJEURE

Kora is not responsible for delays or failures resulting from causes beyond its control, including natural disasters, government actions, labor disruptions, or internet outages.

  1. GOVERNING LAW & JURISDICTION

This agreement is governed by the laws of Mozambique. Any disputes shall be subject to the exclusive jurisdiction of the Tribunal da Cidade de Maputo.

  1. INTELLECTUAL PROPERTY & BRAND PROTECTION

16.1 Ownership: Sellers retain rights to product content but grant Kora a license to use listings, trademarks, and images for platform operations and promotional purposes.

16.2 Counterfeit & Copyright Violations: Sellers must not list counterfeit, copied, or trademark-infringing products. Violations may result in removal, fines, or legal proceedings.

  1. COMPLIANCE & LEGAL REQUIREMENTS

17.1 Legal Compliance: Sellers must ensure all activities adhere to:

  • National and international trade laws
  • Consumer protection regulations
  • Environmental and labeling requirements

17.2 Prohibited Practices: Sellers may not engage in:

  • False advertising or deceptive listings
  • Manipulation of reviews or search results
  • Buyer data harvesting or unethical competition
  1. ACCOUNT TERMINATION & PENALTIES

18.1 Grounds for Termination: Accounts may be suspended or terminated for:

  • Breach of terms
  • Fraudulent behavior
  • High volume of complaints or low ratings

18.2 Appeals Process: Sellers may request a review of termination or suspension decisions within 5 days. Kora will review and respond within 7 days.

18.3 Penalty Charges: Depending on the violation, the Platform may impose financial penalties or withhold payments.

  1. FINAL AGREEMENT

BY REGISTERING AS A SELLER ON KORA, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO THESE TERMS AND CONDITIONS AND OTHER POLICIES ASSOCIATED WITH THIS AGREMENT INLCUDES RETURN POLICY, PRIVACY POLICY, SHIPPING POLICY.

By placing an order on Kora, the Buyer agrees to abide by the terms outlined in this document.

  1. ACCOUNT REGISTRATION & REQUIREMENTS

2.3 Account Creation: To place an order on Kora, users must create an account and provide accurate, up-to-date information, including:

  • Name and contact details
  • Billing and shipping address
  • Payment method details

2.4 Account Security: Buyers are responsible for maintaining the confidentiality of their login credentials. Any activity conducted on the account is the users’ responsibility. Notify us immediately of any unauthorized access.
2.4 Account Restrictions: Kora may suspend or terminate accounts found to be engaged in fraud, misuse, or violation of these terms.

2.3 Providing Accurate Information

  • Buyers must ensure that theirshipping address, contact details, and payment information are correct before confirming an order.
  • Kora is not responsible for ordersdelivered to incorrect addresses provided by the Buyer.
  1. PLACING ORDERS & PAYMENTS

3.1 Order Confirmation: Orders are only confirmed upon successful payment processing.
3.2 Payment Methods: Buyers can pay using:

  • Visa, M-Pesa, e-Mola, bank transfers, and other approved payment services.
  • Kora reserves the right to correct pricing errors and cancel affected orders.

3.3 Order Cancellations:

  • Buyers may cancel an order before shipping.
  • Once shipped, cancellation is not possible, and the Buyer must request a return (if eligible).

3.4 Fraud Prevention:

  • Kora reserves the right to verify payments and reject suspicious transactions.
  • Kora reserves the right to request ID verification for high-value orders or suspected abuse
  1. SHIPPING & DELIVERY

4.1 Delivery Services:

  • Kora manages the delivery of products via delivery partners.
  • Buyers will receive estimated delivery times at checkout.

4.2 Delivery Fees & Charges:

  • Delivery fees vary based on location, package size, weight, and shipping method.
  • Buyers may need to pay customs duties or local taxes, if applicable.

4.3 Receiving Orders & Missed Deliveries:

  • Buyers must be available at the provided delivery address at thescheduled delivery time.
  • If the Buyer is unavailable, they must designate someone to receive the package. Kora is not liable for deliveries accepted by unauthorized persons. The designated recipient must show proof of authorization or clear connection to the account holder such as being listed in the Kora checkout notes or through other acceptable means.
  • If an order cannot be delivered due to the Buyer’sabsence or incorrect address, a redelivery fee may apply.

4.4 Delayed Shipments:

  • If a delivery exceeds the estimated timeframe, Kora will work to resolve the issue with the delivery partner and the buyer.

2.3 Inspection Upon Delivery

  • Buyers are responsible for inspecting their orderimmediately upon delivery and report any damaged, incorrect, or missing items within 24 hour.
  • If the Buyer does not raise a dispute within the specified period, the order will be consideredaccepted.
  1. RETURNS, REFUNDS & DISPUTES

5.1 Return Eligibility:

Buyers may request a return within 1 days (Maputo and Matola) and 5 days (for the rest of regions) under the following conditions:

  • The item isdamaged, defective, or incorrect.
  • The item does not match the product description.
  • The product is eligible under Kora’s return policy.

Buyers must submit clear photo or video evidence for claims regarding damaged, defective, incorrect items or product does not match description.

Certain categories (e.g., perishable goods, hygiene products) may not be eligible for returns – see examples in the return policy

5.2 Return Process:

  • The Buyer must initiate a return request via Kora’s support system within the timeline – see return policy.
  • The product must be in its original condition, with all accessories and packaging.
  • Certain categories may not be eligible for returns (e.g., perishable goods, hygiene products).

5.3 Refunds:

  • Refunds will be processedwithin 15 business days after the return has been verified and approved.
  • Kora may issue refunds asstore credit or via the original payment method.
  • Kora reserves the right to issue refunds as store credit at its sole discretion, especially in cases of dispute abuse
  • Refundswill not be issued for buyer’s remorse or improper returns.

3.3 Chargeback Fraud Prevention

  • If a Buyer falsely claims non-receipt of an item despiteproof of delivery, Kora reserves the right to:
    • Dispute the chargeback with the payment provider.
    • Blacklist the Buyer from making future purchases.
    • Take legal action if fraudulent activity is suspected.
  1. BUYER RESPONSIBILITIES

6.1 Providing Accurate Information:

  • Buyers must ensure that theirshipping address, contact details, and payment information are correct before confirming an order.
  • Kora is not responsible for ordersdelivered to incorrect addresses provided by the Buyer.

6.2 Legal Compliance:

  • Buyers must comply with local laws regarding the purchase of goods.

4.2 Prohibited Buyer Activities

  • Buyers must not engage in fraudulent activities, including, but not limited to:
  • False refund claims or excessive chargebacks.
  • Returning used or tampered products as ‘new’.
  • Attempting to manipulate product reviews.
  • Colluding with sellers to create fake transactions.
    • Filing false refund claims.
    • Placing fake orders.
    • Providing misleading information.
    • Any other activity that reflects malicious behavior or reasonably deemed to exploit platform policies or misrepresent transactional intent

4.3 Consequences for Fraudulent Behavior

  • Buyers caught engaging in fraudulent activities will face:
    • Permanent account banfrom Kora.
    • Legal actionif financial fraud is involved.
    • Blacklisting from using Kora’s services.

Buyers who abuse Kora’s terms and conditions including refund or dispute system may face penalties (see Section 7).

  1. PENALTIES & FINES FOR VIOLATIONS

Kora enforces strict penalties for misuse of the platform.

Repeat offenders may face permanent bans and legal consequences.

8. LIABILITY & DISCLAIMER & FORCE MAJEURE

8.1 Limitation of Liability:

  • Kora is not liable for third-party actions, including:
    • Sellers, delivery companies, or external payment providers.
    • Delays caused by logistics providers, weather conditions, or force majeure.
    • Losses due to buyer-provided incorrect shipping addresses.
    • Issues that arise after the buyer has confirmed receipt of goods.
  • Kora’s maximum liability for any claim will not exceed the order value.
  • Buyers shall not hold Kora liable for non-performance due to events outside reasonable control, including but not limited to civil unrest, system outages, and policy changes.

8.2 Indemnification:

  • Buyers agree to indemnify, defend, and hold Kora and its affiliates harmless from any claims, losses, liabilities, or legal actions resulting from their misuse of the platform or violation of these terms.

8.3 Dispute Resolution

  • Any disputes must be reported toKora’s customer support within 24 hours of the issue arising.
  • Kora will review available evidence (e.g., tracking data, proof of delivery) to determine a fair resolution.
  1. CONFIDENTIALITY & DATA PRIVACY

9.1 Data Protection:

  • Kora adheres to privacy laws to protect Buyer data.
  • Personal data is used only for order fulfillment and platform improvements and user experience.

9.2 Third-Party Sharing:

  • Kora does not sell Buyer information to third parties.
  • Some data (e.g., buyers name, contact and shipping details) is shared with Sellers and delivery partner for order processing and delivery the order.
  1. CHANGES TO TERMS

Kora reserves the right to modify these terms at any time, with prior notice to Buyers. Continued use of Kora after changes implies acceptance.

  1. GOVERNING LAW & JURISDICTION

This agreement is governed by the laws of Mozambique. Any disputes shall be resolved in the courts of Tribunal da Cidade de Maputo.

  1. FINAL AGREEMENT

By placing an order on Kora and by creating an account, you acknowledge that you have read, understood, and agreed to these terms and conditions.
